These Terms of Use ("Terms") govern your access to and utilization of the website, web application, smart profile subdomains, mobile-optimized portals, physical near-field communication (NFC) products, and software services operated under the brand name EasyID ("EasyID", the "Service", or "Platform").

By creating an account, clicking an "I Agree", "Sign Up", or "Place Order" button, tapping or configuring an EasyID NFC device, or browsing the public domains of the Service, you signify your irrevocable acceptance of these Terms, along with our Privacy Policy, which is incorporated herein by reference.

If you are accepting these Terms on behalf of an entity, corporation, partnership, or organization, you represent and warrant that you possess full legal authority to bind such entity to these Terms. In that event, the terms "you" and "your" will refer both to you individually and to that entity.

EasyID provides an integrated identity and smart networking ecosystem comprising:

• Digital Smart Profiles: Cloud-hosted interactive business profile pages accessible via custom slugs, dynamic QR codes, and web links.
• NFC Hardware & Media: Physical contactless cards, tags, epoxy stickers, and wristbands equipped with NTAG microchips programmed to interface with smartphones and digital devices.
• Lead Generation & Exchange: Two-way contact exchange tools, digital address book downloads (.vcf file generation), and CRM-ready lead export tools.
• Lost & Found Smart Recovery: An optional public asset protection feature enabling finders of lost tagged items to contact owners or transmit approximate geographic location reports.
• Engagement Analytics: Dashboards delivering aggregated data regarding profile views, link interactions, device operating systems, and geographic engagement metrics.

EasyID reserves the right to enhance, upgrade, deprecate, or modify any feature, design template, or functional component of the Platform at any time in its sole discretion to maintain security, compliance, and technological excellence.

3.1 Eligibility: You must be at least 18 years of age (or the age of majority in your jurisdiction) and legally capable of entering into binding contracts. If you are under 18, you may only access the Service under the active supervision of a parent or legal guardian who agrees to be bound by these Terms.

3.2 Accuracy of Information: When registering, you agree to provide truthful, accurate, current, and complete credentials. Maintaining misleading, fraudulent, or impersonating registration details constitutes a material breach of this Agreement.

3.3 Account Security: You are solely responsible for maintaining the confidentiality of your authentication credentials, passwords, and sessions. You must immediately notify EasyID at [email protected] upon discovering or suspecting any unauthorized access to your account.

4.1 Subscription Tiers: EasyID offers tiered subscription plans (including Starter, Basic, Pro, Business, and Enterprise plans) featuring different allotments of active cards, custom domains, analytics, template customization, and CRM integrations as detailed on our Pricing Page.

4.2 Recurring Billing: By subscribing to a paid plan, you authorize EasyID (and its designated third-party payment processor, Stripe) to charge the applicable subscription fee, plus applicable taxes, on a recurring monthly or annual basis to your designated payment method until explicitly terminated.

4.3 Cancellation: You may cancel your subscription at any time directly through your EasyID user dashboard. Cancellation takes effect at the expiration of your current prepaid billing cycle; you will retain access to your plan benefits through the end of the paid period. Unless required by mandatory consumer protection law, paid fees are non-refundable.

4.4 Fee Adjustments: EasyID reserves the right to modify subscription pricing upon at least thirty (30) days advance notice published on the site or emailed to your account address.

5.1 Custom Manufacturing: Orders for physical NFC cards, badges, and tags that involve customized branding, logos, QR printing, or personalized laser engraving are manufactured specifically to your specifications. You are responsible for ensuring that all submitted design assets, names, and images are accurate and that you possess all requisite copyright permissions.

5.2 Non-Returnable Custom Goods: Once custom printing or manufacturing begins, custom physical orders cannot be cancelled, returned, or refunded due to customer error, typographical mistakes in provided artwork, or change of mind.

5.3 Defective Hardware & 14-Day Warranty: In the event that a card arrives physically broken, microchip-inoperable (defective NFC tag), or materially misprinted compared to the approved design proof, you must notify our fulfillment support team within fourteen (14) calendar days of delivery with photographic evidence. Upon verification, EasyID will manufacture and dispatch a replacement unit at zero cost.

5.4 Shipping & Delivery: Shipping timelines are estimates provided by postal carriers. EasyID is not liable for carrier delays, customs holds, import tariffs, or lost deliveries resulting from inaccurate shipping addresses submitted by the user.

5.5 NFC Compatibility: While our cards utilize global standard ISO 14443A protocols compatible with modern iOS and Android devices, EasyID cannot guarantee compatibility with damaged, outdated, or third-party locked devices that lack native NFC hardware.

You expressly covenant and agree that you will NOT use the EasyID platform, digital profiles, custom redirect URLs, or NFC tags to:

• Phishing & Credential Theft: Host fake login screens, deceptive forms, or redirect users to malicious URLs designed to harvest credentials, banking details, or sensitive personal data.
• Malicious Code: Disseminate viruses, worms, trojans, ransomware, or any automated scripts designed to compromise devices tapping an NFC tag or scanning a QR code.
• Impersonation & Fraud: Misrepresent your identity, impersonate law enforcement, corporate executives, or any person, or falsely assert an affiliation with an organization without legal authorization.
• Illegal & Harmful Content: Publish, transmit, or promote illegal narcotics, firearms, child exploitation, terrorist propaganda, defamation, hate speech, or non-consensual explicit material.
• Platform Exploitation: Reverse engineer, decompile, crawl, or launch denial-of-service attacks against EasyID infrastructure.

EasyID reserves the unmitigated right to immediately deactivate, suspend, or terminate any account or profile that violates this Acceptable Use Policy, without notice, and to cooperate with relevant law enforcement agencies.

7.1 Ownership of Captured Leads: Any contact information, lead details, or inquiry messages submitted voluntarily by third parties via your EasyID profile forms belong to you. EasyID acts solely as a data processor on your behalf for the storage and facilitation of such leads.

7.2 Compliance with Marketing Laws: You warrant that your use of captured contact details adheres strictly to all applicable marketing and privacy regulations, including but not limited to the US CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA), the Canadian Anti-Spam Legislation (CASL), and the European General Data Protection Regulation (GDPR).

8.1 Good Samaritan Nature: The EasyID Lost & Found feature allows item owners to mark a card or tag as "Lost", enabling a finder to view a customized recovery message, send a secure direct note, or transmit approximate browser-provided GPS coordinates.

8.2 No Recovery Guarantee: EasyID is a software and hardware facilitator and makes no warranty or representation that lost property will be found, reported, or returned intact. EasyID does not physically retrieve, store, or ship lost property.

8.3 Location Accuracy: Any geographic coordinates shared through the Lost & Found finder tool depend entirely on the finder's device settings, browser permissions, and carrier network.

9.1 EasyID IP: All proprietary software, user interface designs, themes, templates, algorithms, artwork, trademarks, logos, and service marks displayed on EasyID are the exclusive property of EasyID or its licensors and are protected under international copyright, trademark, and trade secret laws.

9.2 User Content License: You retain ownership of any profile text, images, trademarks, and contact details that you upload to the Platform. By submitting User Content, you grant EasyID a worldwide, non-exclusive, royalty-free license to host, store, display, format, and transmit such content solely for the purpose of operating, maintaining, and delivering the Service.

The Service provides integration with third-party networks, including social media platforms, payment providers (Stripe), email providers, and custom outbound URLs. EasyID does not control, endorse, or assume responsibility for the content, privacy practices, or terms of any third-party websites or services linked to or from your digital profile.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE EASYID PLATFORM, SOFTWARE, PROFILES, AND NFC HARDWARE ARE PROVIDED STRICTLY ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

EASYID EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, AND NON-INFRINGEMENT.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL EASYID, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES.

THE TOTAL CUMULATIVE LIABILITY OF EASYID FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL BE LIMITED TO AND SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO EASYID IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD).

You agree to defend, indemnify, and hold harmless EasyID, its parent entities, subsidiaries, officers, directors, contractors, and employees from and against any claims, liabilities, damages, judgments, losses, costs, expenses, or legal fees arising out of or relating to your violation of these Terms or your User Content.

14.1 Mandatory Arbitration: Any dispute, controversy, or claim arising out of or relating to this contract shall be resolved through confidential, binding arbitration conducted by a recognized arbitration institution under its commercial rules.

14.2 Class Action Waiver: YOU AND EASYID AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

These Terms, and all claims or causes of action arising out of or relating to these Terms, shall be governed by and construed in accordance with the laws of the jurisdiction in which EasyID operates, without giving effect to any principles of conflicts of law.

EasyID may terminate or suspend your account, access to profiles, or NFC redirect capabilities at any time, with or without prior notice, if you breach any term of this Agreement or engage in unauthorized activities.
